The proposed merger between Lotte Cinema and Megabox, aimed at creating South Korea's largest theatrical exhibitor, has officially collapsed. This decision follows a 14-month negotiation period and is primarily attributed to a deepening financial crisis affecting Megabox's parent company, JoongAng Group. The memorandum of understanding (MoU) governing the merger lapsed on June 30, 2026, marking the end of the merger process.
Details of the Merger Collapse
The merger discussions began in May 2025, with the two companies extending their MoU three times as they navigated complex deal terms. The final extension pushed the deadline to the end of June 2026. Lotte Shopping and Contentree JoongAng announced Wednesday that the merger discussions had officially ended.
Despite the initial optimism surrounding the merger, the financial instability of JoongAng Group played a critical role in the failure. Reports indicate that the group's financial troubles have been mounting, making the merger increasingly untenable.
Impact on the South Korean Cinema Market
The collapse of this merger is significant for the South Korean cinema industry, as it would have consolidated a major portion of the market under one entity. Lotte Cinema and Megabox are two of the largest cinema chains in the country, and their merger was expected to reshape the competitive landscape.
